Rights of the Parties: This Agreement is for the exclusive benefit of the parties to this Agreement and their respective successors and permitted assigns, and nothing in this Agreement, express or implied, confers on any other person or entity any right, interest or remedy of any kind, whether at law or in equity, arising out of or under this Agreement. (9) Modification and Totality: This Agreement may only be amended, modified or replaced by a written act signed by each Party.
